Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Governing Law
These Terms shall be governed and construed in accordance with the laws of Turkey without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.
Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

KONU VE AMAÇ İşbu Sözleşme’nin konusu, üyeler için güvenilir ve verimli bir iş ağı oluşturmayı ve iş olanaklarını artırmayı hedefleyen Turnkey platformuna katılan Üye’nin hak ve yükümlülüklerinin belirlenmesidir. | 2. SUBJECT AND PURPOSE The subject of this Agreement is to determine the rights and liabilities of the Member joining the Turnkey platform which aims to enlarge business opportunities and create a reliable and productive network for the members. |

| “İstişare Kurulu”: Yönetim Kurulu Başkanı, şirket hissedarları, müşavirler, koordinatörler, Komite Başkanı ve elçilerden oluşan ve tavsiye niteliğinde kararlar almaya yetkili olan Turnkey organını ifade eder. “Başkan”: Turnkey’nin Yönetim Kurulu ve İstişare Kurulu’nun başkanlığını yapan kişiyi ifade eder. “Koordinatör”: İstişare Kurulu tarafından alınan kararları uygulamak adına üyeleri ve ekipleri koordine eden kişileri ifade eder. “Komite”: Üyelerin iş kollarına, sektörlerine ve projelere göre bölündüğü grupları ifade eder. “Tedarikçi”: Belirli bir ürün üreten ve/veya hizmet sunan taahhüt firmalarını ve temsilcilerini ifade eder. “Yerel İş Geliştirmeci”: İstişare Kurulu tarafından seçilen ve yetkilendirilen, Pazar Araştırma Raporları (PAR)’nın hazırlanmasından sorumlu olan ve Tedarikçi üyelerin gerçekleştirdiği iş seyahatlerinde Business to Business (B2B) eşleşmeleri sağlayan kişileri ifade eder. “Münhasırlık”: İstişare Kurulu tarafından Tedarikçi üyeye sektörel anlamda, Yerel İş Geliştirmeci’ye ise bölgesel anlamda sağlanan tekelcilik kavramını ifade eder. “Performans Ölçme Sistemi”: Üyelerin toplantıya katılım, misafir davet etme ve iş geliştirme kriterlerine dayanarak performanslarının puanlandığı sistemi ifade eder. “Yönerge”: İşbu Sözleşme’nin ayrılmaz bir parçası olan Turnkey International Business Development (B2B) Platform Çalışma Usul ve Esasları Hakkındaki Yönerge’yi ifade eder. | “Advisory Committee”: Describes the body of Turnkey which is authorized to take advisory decisions, consisting of the President of the Board of Directors, company shareholders, consultants, coordinators, President of the Committee and ambassadors. “President”: Describes the person who chairs Turnkey’s Board of Directors and Advisory Committee. “Coordinator”: Describes the person who coordinates the members and teams to execute the decisions made by the Advisory Committee. “Committee”: Describes the groups where members are divided by their business lines, sectors and projects. “The Supplier”: Describes the contracting companies and its representatives who produce a particular product and/or provide a service. “Local Business Developer”: Describes the person selected and authorized by the Advisory Committee which is responsible for the preparation of the Market Research Reports (MRR) and makes the Business to Business (B2B) matchups in business trips made by the Supplier members. “Exlusivity”: Describes the concept of exclusivity which is provided by the Advisory Committee to the Supplier member in terms of the sector and Local Business Developer in terms of the region. “Performance Measuring System”: Describes the system where the members performance is scored based on the criteria of participation to meetings, invitation of guests, and business development. “Directive”: Describes the Turnkey International Business Development (B2B) Platform Directive on Working Procedures and Principles which constitutes an inseparable part of this Agreement. |
| 4. TURNKEY’İN HAK VE YÜKÜMLÜLÜKLERİ 4.1. Turnkey, işbu Sözleşme’nin imzalanmasıyla Üye’yi Turnkey bünyesinde düzenlenen tüm organizasyonlara dahil edecek ve Turnkey’nin sunduğu tüm iş geliştirme imkanlarından faydalanmasına olanak sağlayacaktır. 4.2. Turnkey, üyeler arasında bilgi, bağlantı ve proje paylaşımını kolaylaştıracak ve dayanışma anlayışı içerisinde iş ve proje geliştirme zihniyetini destekleyecek bir ortam sunar. 4.3. İstişare Kurulu, her Tedarikçi’ye sektörel ve her Yerel İş Geliştirmeci’ye bölgesel (hem ülke hem de şehir bakımından) münhasırlık vermeye yetkilidir. Dolu olan koltuklar (sektör ve bölgeler), ilgili üyenin üyeliğinin sona ermesine kadar misafir davetine kapalı olacaktır. | 4. TURNKEY’S RIGTHS AND OBLIGATIONS 4.1. With the conclusion of this Agreement, Turnkey will include the Member in all organizations made within Turnkey and will enable the Member to benefit from all business development opportunities provided by Turnkey.4.2. Tedarikçi Üye, Pazar Araştırma Raporu ya da B2B organizasyonları neticesinde iş geliştirmesi halinde, Yerel İş Geliştirmeci’ye fatura bedelinin %5’ini geçmemek üzere bir komisyon bedeli ödemekle yükümlüdür. İlgili sürecin Turnkey’nin denetimi altında yürütülmesi esastır. 4.13. Should the Supplier Member be able to develop business through the Market Research Report or B2B organizations, the Member is obliged to pay a commission, not exceeding 5% of the invoice amount, to the Local Business Developer. It is essential that this process shall be carried out under the supervision of Turnkey.4.13. If Turnkey develops business between a non-member third party and a Supplier Member, the Parties may determine a commission regarding this effort. |
| 5. ÜYENİN HAK VE YÜKÜMLÜLÜKLERİ 5.1 İşbu Sözleşme’nin imzalanması ile Üye, Turnkey organizasyonuna dahil olacak olup işbu Sözleşme ve ekinde yer alan kurallara riayet etmek şartıyla, dahil olduğu iş geliştirme faaliyetlerinde kendini ve işini tanıtma ve diğer Üyeler ve Turnkey ile diğer Üyeler tarafından yönlendirilen üçüncü taraflar ile iş geliştirme hakkına sahiptir.5.2 Üye, işbu Sözleşme ile dahil olacağı Turnkey platformunun iyi niyet ve dürüstlük kuralları çerçevesinde işleyen bir sistem olduğunu ve bu nedenle, Sözleşme’nin herhangi bir nedenle sona ermesinden sonraki dönemde dahi Turnkey’nin saygınlığına, ticari itibarına ve repütasyonuna zarar verebilecek doğrudan veya dolayı her türlü davranış, beyan, hareket veya durumdan kaçınacağını kabul, beyan ve taahhüt eder.5.3 Turnkey, üyelerin ırk, renk, cinsiyet, din, politik düşünce, ulusal köken, medeni hal, cinsel tercih, yaş ve fiziksel engellerine bakılmaksızın objektif niteliklere göre değerlendirilmelerini ve seçilmelerini benimsemektedir. Aynı şekilde Üye, Sözleşme süresi boyunca işbu Turnkey ilkelerine uygun hareket edeceğini, bu doğrultuda ırkçı, ayrımcı ve benzeri eylemlerden kaçınacağını kabul, beyan ve taahhüt eder. 5.4 Üye, Turnkey organizasyonu içerisinde temsil ettiği iş kolu bakımından iş geliştirme faaliyetlerine katılacak olup esas faaliyet alanı dışında kalan iş geliştirme fırsatlarına da teklif sunma hakkı saklıdır. 5.5 Üyelerin, özellikle online görüşmelerde olmak üzere, Turnkey organizasyonu kapsamında gerçekleştirilen toplantılarda, giyim ve genel tutum bakımından profesyonel adaba uygun şekilde hareket etmesi beklenir.5.6 Üye, haftalık bazda düzenlenen toplantılara katılmanın oldukça önemli ve gerekli olduğunu idrak ettiğini ve bu | 5. THE MEMBER’S RIGHTS AND OBLIGATIONS 5.1 With the execution of this Agreement, the Member will be included in the Turnkey organization and shall, in accordance with the rules under this Agreement and its annex, be entitled to introduce and promote itself and its business and to develop its business with other Members and third parties directed by Turnkey and its Members. 5.2 The Member accepts, declares and undertakes that the Turnkey platform, which the Member will be included with this Agreement, is a system that operates within the framework of goodwill and honesty and therefore, even after the termination of the Agreement for any reason, it will avoid any direct or indirect behaviour, declaration, action or situation, which may harm Turnkey’s prestige, commercial reputation and recognition.5.3 Turnkey adopts that the members are evaluated and selected based on objective qualities regardless of their race, colour, gender, religion, political opinion, national origin, marital status, sexual orientation, age and physical disabilities. Similarly, the Member accepts, declares and undertakes that, during the term of the Agreement, it will act in accordance with these Turnkey principles and avoid racist, discriminatory or similar actions.5.4 The Member will participate in the business development activities of the business sector which it represents within Turnkey organization. However, its right to propose offers to business development opportunities other than its field of activity is also reserved.5.5 Members are expected to act in a professional manner with regards to clothing and general demeanour in meetings that are held within the scope of Turnkey organization, especially in online meetings. 5.6 The Member agrees, declares, and undertakes that its attendance to meetings, which are held on a weekly |

Bu kapsamda Üye, her ay bu toplantılardan en az birine katılmak ve başka bir grup Üyesi ile birlikte haftada 1 (bir) kez teke tek toplantı yapmakla yükümlüdür. Müşavirlerin işbu yükümlülüklerden muaf olduğu kabul edilir. 5.7 Yeşil Bölge üyeleri, katıldıkları veya davet edildikleri haftalık toplantılarda sunum yapma, firmasını ve işini tanıtma, spesifik isteklerini ve pazar hedeflerini bildirme hakkına sahiptir.5.8 Üye, Turnkey’e önden bildirimde bulunmak suretiyle, Turnkey tarafından gerçekleştirilen iş geliştirme faaliyetlerine, profil ve yetkinliğini dikkate alarak misafir davet etme hakkına sahiptir. Aynı misafir Turnkey etkinliklerine en fazla 3 kez katılım sağlayabilecek olup etkinliklerde yalnızca dinleyici olarak yer alacaktır. Bu aşamadan sonra, misafirin potansiyel üyelik durumu ile alakalı karara varılacaktır.5.9 Üye’nin asgari olarak en az 3 ayda bir başka bir grup Üyesi ile iş geliştirmesi beklenmektedir. Yılda bir defa iş geliştirmek ise, üyeliğin devamı için esastır. 5.10 Yerel İş Geliştirmeci üyeler saklı kalmak kaydıyla, Tedarikçi üyelerin kendi aralarında geliştirdikleri işler için herhangi bir komisyon oranı belirlenmeyecektir. Üçüncü bir taraf ile geliştirilen (iş yönlendirmesi) işler için bir komisyon oranı belirlenmesi, yalnızca işbu iş ilişkisinin taraflarının takdirindedir. Turnkey, bu hallerde geliştirilen işlerden ayrıca bir komisyon talep etmeyecektir.5.11 Tedarikçi Üye, öncelikle Turnkey’e başvuruda bulunmak şartıyla, belirli bir ürün, hizmet ya da proje için bir ücret karşılığında Yerel İş Geliştirmecilerden Pazar Araştırma Raporu hazırlamalarını talep etme hakkına sahiptir.5.12 Tedarikçi üyeler, belirli pazarlarının araştırılması için yapılan iş seyahatlerinin organizasyonlarına ilişkin Turnkey’den destek talep etme hakkına sahiptir.5.13 Pazar Araştırma Raporu veya B2B organizasyonları aracılığıyla iş geliştirmesi durumunda, Tedarikçi Üye; Yerel İş Geliştirmeci’ye fatura bedelinin en fazla %5’i oranında bir komisyon bedeli ödemeyi kabul, beyan ve taahhüt eder. | basis with principles and procedures determined by the Directive, is very important and essential for the purpose of this Agreement and accordingly the Member will participate in the meetings. The consultants shall be exempted from these obligations.5.7 The Green Zone members are entitled to do presentations, promote their company and business, state their business requirements and market objectives during the meetings that they participated or are invited.5.8 With giving advance notice to Turnkey, the Member is entitled to invite a guest to the business development activities carried out by Turnkey, taking into consideration the guest’s profile and competency. Same guest may only attend 3 times to Turnkey’s activities and may be a part of these activities only as a listener. After this phase, a decision shall be made regarding the potential membership status of the guest.5.9 The Member is expected to develop a new business with another Member, at least once every 3 months. Development of a new business once in a year is essential for the continuation of membership.5.10 Save for the Local Business Developer members, no commission rate shall be determined for the businesses developed between the Supplier members. Determining a commission rate for the businesses developed with a third party thru a Member is only at the discretion of the parties of this business relationship. Turnkey shall not claim any commission from these businesses developed within these circumstances.5.11 With an application to Turnkey, the Supplier Member shall have the right to request, for a fee, the preparation of a Market Research Report (MRR) from the Local Business Developers for a specific product or service. 5.12 Supplier members shall have the right to demand support from Turnkey for the organizations of business trips made for the purpose of research regarding specific markets.5.13 If the Supplier develops any business through the Market Research Report or B2B organizations, the Supplier Member accepts, declares, and undertakes to pay a commission up to 5% of the invoice amount to the Local Business Developer. |
| 6. | 7. ÜYELİK AİDATI 7.1. Üye, sadece işbu Sözleşme’nin imzalandığı tarihten itibaren 1 (bir) yıllık dönem için 300 USD tutarındaki Üyelik Aidatı’nı peşin olarak Turnkey’e ödemekle yükümlüdür. Her yıllık dönemde Turnkey tarafından güncellenecek işbu Üyelik Aidat bedeli, Turnkey tarafından bildirilecek banka hesabı kanalı veya diğer otomatik ödeme yöntemleriyle ödenecektir. The Member shall be liable for paying 300 USD of Membership Fee in advance, for the first 1 (one) year period as from the Signature Date of this Agreement. The amount of the Membership Fee will be updated each year and will be paid through the bank account or other automatic payment methods specified by Turnkey. Turnkey will give a written notice to the Member whose period of renewal has arrived. Turnkey is authorized to terminate the membership of the Member in case that the Membership Fee is not paid within 1 month as from the date of this written notice. |
| 7.2. In case that the Member fulfils all the membership requirements and was unable to develop any business during 1 (one) year period, the Membership Fee for the new period shall be 50% discounted.7.3. The Member recognised as an Ambassador as per the Performance Measuring System shall be exempted from paying the Membership Fee for the next period. |
| 8. SÖZLEŞMENİN SÜRESİ İşbu Sözleşme’nin süresi, Taraflarca imza edildiği tarihten itibaren 1 (bir) yıldır. İşbu Sözleşme, sona erme tarihinden 30 (otuz) takvim günü öncesinde yazılı bildirimde bulunulmadığı takdirde, sözleşme süresinin bitiminde başkaca bildirim, ihtar veya ihbara gerek olmaksızın kendiliğinden yenilenecektir. | 8. TERM OF THE AGREEMENT The term of this Agreement is 1 (one) year as from the date signed by the Parties. The term of this Agreement shall automatically be renewed without any necessity of a further statement or notice, if no written notice is provided at least 30 (thirty) calendar days before the end of the term. |

Üye’nin, işbu Sözleşme kapsamındaki gizlilik yükümlülüğüne tabi bilgileri ve/veya edindiği kişisel verileri, İstişare Kurulu’nun bilgisi haricinde üçüncü kişiler ile paylaşmasıg. Üye’nin İstişare Kurulu’na sunduğu gerekçenin kabul edilmesi hali saklı kalmak kaydıyla, arka arkaya 3 ay boyunca Kırmızı Bölge’de kalmasıh. Üyelik, Turnkey tarafından yapılacak 2 yazılı uyarının ardından sonlandırılacak ve Üyelik Aidatı iade edilmeyecektir.i. Üye’nin, taahhüt ettiği komisyonları Yerel İş Geliştirmeci’ye ödememesij. TERMINATION OF THE AGREEMENTThis Agreement shall be terminated in following conditions upon the decision of the Advisory Committee: a. Not paying the Membership Fee on timeb. Non-compliance of the Directive by the Member despite Turnkey’s written warningc. Non-compliance with the meeting and participation rules set out in this Agreement and Directived. Non-compliance with the workplace ethic and code of conducte. Initiation of an administrative or judicial investigation of the Member for crimes listed under article 4 after date of membershipf. Disclosure by the Member of information subject to confidentiality obligations under this Agreement and/or personal data to third parties without knowledge of the Advisory Committeeg. In case where the Member remains in the Red Zone for a consecutive period of 3 months, except for where the excuse presented by the Member to the Advisory Committee is acceptedh. The membership shall be terminated after 2 written notices made by Turnkey and the Membership Fee shall not be refunded.i. Non-payment of the commissions by the Member to the Local Business Developerj. Misrepresentation and/or false statements aimed towards Turnkey by the Memberk. In case of death of the Member or the Member losing its capacity to act, this Agreement shall automatically be terminated without any notification or warning. |
| 10. | 11. FİKRİ MÜLKİYET HAKLARI 11.1 Turnkey’nin ticaret unvanı ve yayınlarla ilgili olarak kullandığı tüm isim ve markalar da dahil olmak üzere Turnkey’nin sahibi olduğu veya kullandığı veya kullanma hakkına haiz olduğu veya işbu Sözleşme süresince edineceği; tüm programlar, eğitim materyalleri, usulleri, fikirleri, know-how, prosedürleri, teknikleri, tasarımları, logoları, kılavuzları, broşürleri, basılı, görsel veya işitsel malzemeleri, üye listeleri, potansiyel üye listesi, irtibat bilgileri, formlar, faaliyet raporları, ticari sırları, isim, logo, amblem ve grafik tasarımı dahil kurumsal kimliği, Turnkey’nin ürettiği her çeşit fikri ürünü, sosyal medya ortamlarındaki paylaşımları veya eserleri herhangi bir sicile kayıtlı olsun veya olmasın, Turnkey’nin yazılı izni olmadan hiçbir şekilde kısmen veya tamamen kullanmayacağını, kendisi ile bağlantılı olsun veya olmasın hiçbir kurum, kuruluş veya kişiye kullandırmayacağını, Turnkey’nin kullanımında olan veya Turnkey tarafından geliştirilmiş bulunan herhangi bir fikri veya sınai hakkın tescilini talep dahi edemeyeceğini kabul, beyan ve taahhüt eder.11.2 Üye, Sözleşme süresi boyunca veya herhangi bir nedenle fesih edilmesinden sonraki dönemde, Turnkey’e ait herhangi bir fikri veya sınai hakka, tescilli olsun veya olmasın hiçbir kişi, kurum veya kuruluşa kullandırmayacağını kabul, beyan ve taahhüt eder. | 11. INTELLECTUAL PROPERTY RIGHTS 11.1 Member accepts, declares and undertakes not to use completely or partially, without Turnkey’s written consent, all programs, training materials, methods, ideas, know-how, procedures, techniques, designs, logos, guides, brochures, printed, visual or audio materials, member lists, potential member list, contact information, forms, activity reports, trade secrets, corporate identity including name, logo, emblem and graphic design, all kinds of intellectual products produced by Turnkey, shares or works on social media, including all names and brands used by Turnkey in relation to its trade name and publications, who Turnkey owns or uses or is entitled to use or will acquire during this Agreement, whether registered to any registry or not, shall not make use of any institution, organization or person whether it is connected with it or not, and shall not request the registration of any intellectual or industrial rights used by Turnkey or developed by Turnkey. 11.2 Member accepts, declares and undertakes that it will not allow any intellectual or industrial rights belonging to Turnkey to be used by any person, institution or organization, whether registered or not, during the term of the Agreement or after its termination for any reason. |
| 12. GİZLİLİK YÜKÜMLÜLÜĞÜ 12.1 Üye, Turnkey tarafından kendisine sunulan Gizli Bilgi ve/veya diğer her türlü bilgi konusunda gizlilik yükümlülüğü olduğunu bildiği, bu yükümlülüklere kayıtsız şartsız uyacağını ve kendisi veya birlikte çalıştığı kişiler aracılığıyla bu yükümlülüğün ihlalini önlemek için her türlü önlemi alacağını kabul, beyan ve taahhüt eder.12.2 Üye, Sözleşme Süresi boyunca ya da işbu Sözleşme’nin sona ermesinden sonra da, Turnkey’e ait Gizli Bilgiler ile işbu Sözleşme kapsamında kalan diğer bilgi ve belgelerin, yetkisiz kişilerce her ne surette olursa olsun ifşası veya kullanımı konusunda bilgi sahibi olması halinde, tüm bu hususları derhal yazılı olarak Turnkey’e bildireceğini, yetkisiz kişiler veya kurumların herhangi bir Gizli Bilgi’ye ya da işbu Sözleşme kapsamında kalan herhangi bir bilgi ya da belgeye erişimini, bunları elde etmesini veya sahip olmasını önlemek için gerekli her türlü önlemi alacağını, kabul, beyan ve taahhüt eder. | 12. CONFIDENTIALITY OBLIGATION12.1 Member accepts, declares and undertakes that it has a confidentiality obligation regarding Confidential Information and/or any other information provided by Turnkey, it shall comply with these obligations unconditionally, it will take all measures to prevent breach of this obligation through itself or its collaborators.12.2 Member accepts, declares and undertakes that it will immediately notify Turnkey in writing, and shall take all necessary measures to prevent unauthorized persons or institutions from accessing, obtaining or owning any Confidential Information or any information or document within the scope of this Agreement, in case that the Member is informed about the disclosure or use of the Confidential Information of Turnkey and other information and documents within the scope of this Agreement by unauthorized persons during the term of the Agreement or after the termination of this Agreement, under any circumstances. |
| 12.3 Üye’nin ilgili kanunlar gereğince veya idari emir ya da mahkeme kararı sebebiyle herhangi bir Gizli Bilgi’yi açıklamak/ifşa etmek zorunda kalması halinde, Üye bu durumu derhal yazılı olarak Turnkey’e bildirecek ve mümkün olduğu ölçüde, Turnkey’nin bu ifşaya karşı çıkma ve hukuki koruma tedbirleri veya başka uygun tedbirleri alması için Turnkey’e elindeki tüm imkanları sunacak ve bu imkanların sonuçlanmasını beklemeden Gizli Bilgi’yi açıklamayacak ya da ifşa etmeyecektir. 12.4 Üye, Turnkey tarafından üçüncü kişilere ait gizli ve özel bilgilerin alındığını ve/veya alınabileceğini, Turnkey’nin bu kapsamdaki bilgilerin gizliliğini korumak ve bunları yalnızca işbu Sözleşme kapsamında öngörülen amaçlar için kullanmakla yükümlü olduğunu bildiğini, Turnkey ile birlikte üyeliği süresince ve sonrasında, bu bilgilere ilişkin olarak Turnkey ile üçüncü kişilere karşı sorumlu olduğunu, bu kapsamdaki her türlü Gizli Bilgi’yi büyük bir titizlikle koruyacağını, Gizli Bilgi’leri, Turnkey’nin bir üyesi olarak görevlerini gerçekleştirmesi için gereken normal süreç içinde mutlak zorunlu olduğu zamanlar haricinde, Turnkey’nin ilgili üçüncü tarafla yaptığı anlaşmalara uygun biçimde önceden alınmış açık ve yazılı onayı olmadan açıklamayacağını, kullanmayacağını veya kullanımına veya açıklanmasına sebep veya yardımcı olmayacağını kabul, beyan ve taahhüt eder. 12.5 Üye, her ne sebeple olursa olsun Turnkey ile imzaladığı herhangi bir sözleşmenin ya da ilişkisinin sona ermesi ya da Turnkey tarafından hiçbir sebep gösterilmesine gerek bulunmaksızın talep edilmesi halinde, kayıtlar, taslaklar, raporlar, defterler, teklifler, listeler, yazışmalar, ekipmanlar, belgeler, dokümanlar, fotoğraflar, bilgisayar disketleri, negatifler, basılmamış filmler, notlar, çizimler, elektronik kayıtlar ve Turnkey’e ait olan veya Turnkey’deki üyeliği ya da sunduğu hizmet ve işlerle ilgili olan herhangi bir özelliğe sahip her türlü programlar, veriler ve diğer malzemeler veya mallar da dahil olmak üzere tüm Gizli Bilgiler ile ilgili diğer tüm bilgi ve belgelerin orijinalleri, kopyaları ve çoğaltılmış baskılarının herhangi birini almayacağını veya üçüncü bir tarafın ya da kendi çalışanlarının almasına izin vermeyeceğini, bunu önlemek için her türlü önlem ve tedbiri alacağını, herhangi bir talep gerekmeksizin Turnkey’e 1 (bir) Takvim Günü içerisinde teslim ve iade edeceğini kabul, beyan ve taahhüt eder. 12.6 Üye, yukarıdaki hükme rağmen tüm Gizli Bilgiler’i Turnkey’e teslim etmez ve kendisinde herhangi bir Gizli Bilgi (dijital ortamda veya fiziki ortamda orijinal ya da kopya) kaldığı anlaşılırsa bunları derhal ve herhangi bir talep gerekmeksizin geri dönülemez bir şekilde silecek/imha edecektir. Turnkey, işbu maddeye aykırılık halinde zararların tazminini talep etmeye ek olarak yasağa aykırı davranış veya faaliyetin sona erdirilmesini talep etme hakkını haizdir.12.7 Üye işbu hükümler sebebiyle Turnkey’den herhangi bir nam altında zarar veya ziyan talep edemeyeceğini, işbu madde kapsamında yer alan yükümlülük ve kısıtlamaların adil ve makul olduğunu ve Turnkey’nin meşru iş menfaatlerini ve Bölge’de ticari faaliyetinin gelişimi amacıyla yapmış olduğu yatırımları tam olarak koruyabilmek için gerekliği olduğunu, işbu maddeye aykırı davranması halinde, yargı yoluna başvurulmak zorunda kalınması nedeniyle ödenecek her türlü yargılama gideri ve avukatlık ücretleri de dahil olmak üzere Turnkey’nin uğrayacağı doğrudan ya da dolaylı zararı hiçbir ihtar ya da ilama lüzum olmaksızın ilk yazılı talep üzerine ödeyeceğini gayrikabili rücu kabul, beyan ve taahhüt eder. | 12.3 In case that the Member is obliged to express/disclose any Confidential Information pursuant to applicable laws or due to administrative orders or court orders, Member shall promptly notify Turnkey in writing and shall provide Turnkey with all the opportunities available to Turnkey to oppose this disclosure and take legal safeguards or other appropriate measures, and will not express or disclose Confidential Information without waiting for that opportunity to result.12.4 Member accepts, declares and undertakes that it is aware confidential and private information of third parties has been received and/or retrieved by Turnkey, Turnkey is obliged to protect the confidentiality of this information and to use it only for the purposes stipulated in this Agreement, Together with Turnkey, it is responsible to third parties regarding this information with Turnkey, during and after her/his membership, it will carefully protect any Confidential Information within this scope, shall not disclose Confidential Information without Turnkey’s prior clear and written consent in accordance with the agreements with the relevant third party, except when it is absolutely mandatory within the normal process required to perform her/his duties as a member of Turnkey, it shall not use or cause or help its use or disclosure.12.5 In case any contract signed with Turnkey or relationship is terminated for any reason whatsoever, or if it is requested by Turnkey without any reason; Member accepts, declares and undertakes that it will not receive any Confidential Information including records, drafts, reports, notebooks, offers, lists, correspondence, equipment, documents, documentary, photographs, computer disks, negatives, unprinted films, notes, drawings, electronic records, and any programs, data, and other materials or goods owned by Turnkey and any of the originals, copies and duplicated prints of all other relevant information and documents; or it will not allow a third party or her/his own employees to take it, will take all kinds of precautions and measures to prevent this, will deliver and return Turnkey without any request within 1 (one) Calendar Day.12.6 Despite the above provision, in case Member does not deliver the Confidential Information to Turnkey and it is found that any Confidential Information (original or copy in digital or physical media) remains on it, Member will irreversibly delete/destroy them immediately and without any request. In the case of breach of this article, Turnkey reserves its right to demand compensation for damages, in addition to demanding the termination of the act or activity contrary to the prohibition.12.7 Member accepts, declares and undertakes that it shall not claim any damage or loss from Turnkey under any name due to these provisions, the obligations and restrictions under this article are fair and reasonable and it is necessary for Turnkey to fully protect its legitimate business interests and its investments in the development of its business in the Region, in the case that it acts contrary to this article, it shall compensate any direct or indirect damages to Turnkey, including all legal costs and attorney fees, upon the first written request, without the need for any warning or notice. |

Taraflar işlediği kişisel verileri sadece Sözleşme’de belirtilen kapsam dahilinde işleyecek, ilgili kişiyi bu kapsam hakkında bilgilendirecek ve gerekli olan hallerde açık rızalarını almakla yükümlü olacaktır.13.2. Taraflar işlediği kişisel verilerin ilgili mevzuatta öngörülen süreler ve işleme amacının gerekli kıldığı süre boyunca muhafaza edecektir. Belirtilen süreler geçtikten sonra kişisel veriler derhal imha edilecek ve imha sürecine ilişkin raporu diğer Taraf ile paylaşacaktır. Taraflar işlediği kişisel verilerin güvenliğini KVKK’da öngörülen şekilde sağlayacak ve herhangi bir veri ihlali yaşanması durumunda bu durumu en kısa sürede diğer Taraf’a ve Kişisel Verileri Koruma Kurulu’na bildirecektir. Taraflar işbu Sözleşme gereği işlediği kişisel verileri gizli bilgi olarak kabul edecek olup süresiz olarak ifşa etmemek yükümlülüğü altında olduğunu kabul, beyan ve taahhüt etmiştir. | 13. PERSONAL DATA PROTECTION 13.1. The Parties shall process the personal data transferred to them under this Agreement, in accordance with the fundamental principles and conditions of process set out in the Personal Data Protection Law numbered 6698 (PDPL). The Parties shall be obligated to process the personal data only to the extent of the scope set out in this Agreement, to inform the relevant persons regarding such scope and take their explicit consent where necessary.13.2. The Parties shall maintain the personal data for the period stipulated in the applicable legislation and the period during which the processing purpose remains necessary. After the termination of these periods, the personal data shall be destroyed immediately and the report on the destruction process shall be shared with the other Party. The Parties shall provide the security of the personal data processed as stipulated in the PDPL and shall inform the other Party and the Personal Data Protection Authority as soon as possible in case of any breach of data. The Parties accepts, declares and undertakes that the personal data processed under this Agreement shall be considered as confidential information and that they are under the obligation not to disclose for an indefinite period. |
| 14. BEYAN VE TAAHHÜTLER 14.1. Üye, işbu Sözleşme’yi akdedebilmek için her türlü yetki ve ehliyetinin bulunduğunu ve özellikle İngilizce dilinde yetkin olma, temsil ettiği sektöre önderlik etme, iş geliştirmeye açık olma ve ürün ve/veya hizmet ihracatı konusunda profesyonel deneyim ve bilgi sahibi olma gibi gerekli tüm kişisel ve/veya profesyonel yetkinliklere sahip olduğunu kabul, beyan ve taahhüt eder.14.2. Üye, kendisinin veya temsil ettiği/ortağı olduğu tüzel kişinin halihazırda gerçekleştirmekte olduğu tüm iş ve | 14. DECLARATIONS AND UNDERTAKINGS 14.1. The Member accepts, declares and undertakes that it has all kinds of authority and capacity to conclude this Agreement and have all the required personal and/or professional competencies, especially such as proficiency in the English language, leading the sector that it represents, being open to business development and having professional experience and knowledge in exporting products and/or services.14.2. Üye, işbu Sözleşme kapsamında gerçekleştireceği iş geliştirme faaliyetlerinde yalnızca Sözleşme’nin konu ve amacına uygun olarak hareket edeceğini, işbu faaliyetlerin yalnızca ticari amaçlar doğrultusunda gerçekleştirildiğini idrak ettiğini kabul, beyan ve taahhüt eder.14.4. Üye, Turnkey organizasyonu kapsamında gerçekleştirilen tüm iş ve işlemlerde ticari ahlak ve etik kurallarına uygun şekilde hareket edeceğini kabul, beyan ve taahhüt eder.14.5. Üye, İmza Tarihi’nde, hakkında anayasal suçlardan, terör suçlarından, yüz kızartıcı suçlardan, Kamu İhale Kanunu kapsamında düzenlenen ihaleden yasaklılık vb. hallerden dolayı yürütülmekte olan herhangi bir soruşturma bulunmadığını veya bu suçlara ilişkin aleyhine kesinleşmiş herhangi bir mahkeme hükmü bulunmadığını, halihazırda devam etmekte olan adli/idari ya da meslek odaları veya başka herhangi bir kamu/özel kurum tarafından başlatılan disiplin soruşturmaları da dahil olmak üzere herhangi bir soruşturma/araştırma bulunmadığını, iflas, konkordato, kayyum atanması, haciz tatbiki veya başka şekillerde finansal durumunu olumsuz olarak etkileyecek hiçbir hukuki veya idari işlemin tarafı olmadığını kabul, beyan ve taahhüt eder.14.6. Üye, işbu Sözleşme’nin akdinden önce veya Sözleşme sırasında Turnkey’e sağladığı bilgilerin güvenilir ve doğru olduğunu kabul, beyan ve taahhüt eder.14.7. Turnkey, Üye’nin iş olanaklarını arttıracağını, Üye’nin kazanç elde edeceğini ve en genel anlamda işini geliştireceğini garanti etmemektedir. The Member accepts, declares and undertakes that; there is no investigation in progress against him/her due to constitutional crimes, terror crimes, disgraceful crimes, prohibition of tenders regulated within the scope of the Public Procurement Law etc., or there is no court verdict against him/her regarding these crimes; there is no investigation in progress against him/her, including disciplinary investigations initiated by judicial/administrative or trade associations or any other public/private institution; it is not a party to any legal or administrative proceedings such as bankruptcy, concordat, appointing a trustee, enforcement of foreclosure or otherwise that would adversely affect its financial status; in the Signing Date. 14.6. The Member accepts, declares and undertakes that the information provided to Turnkey before or during the conclusion of this Agreement is reliable and accurate.14.7. Turnkey in no way guarantees that the Member will increase its business opportunities, will make profit and develop its business in the most general sense. The Member accepts, declares and undertakes that it shall alone be responsible for increasing business opportunities, business development and earnings within its own performance and effort. |
| 15. DİĞER HÜKÜMLER 15.1 Sözleşme’nin herhangi bir hükmünün geçersiz veya hükümsüz olması halinde, söz konusu hüküm etkisiz hale gelecek (geçersiz veya uygulanamaz olduğu ölçüde) ve işbu Sözleşme’de yer alan diğer hükümlerin geçerliliğini etkilemeksizin bu Sözleşme’ye dahil edilmemiş sayılacaktır. Taraflar söz konusu geçersiz hükmün yerine geçmek üzere söz konusu geçersiz ve ifa edilemez hükme benzer ve söz konusu hükmün amaçlanan etkisine mümkün mertebe en yakın anlamda olan bir hüküm üzerinde anlaşmak için objektif olarak kendisinden beklenebilecek en üst düzeyde çabayı göstermekle yükümlüdür.15.2 İşbu Sözleşme’ye ilişkin yapılacak tadil, kabul, değişiklik ya da ilaveler, Taraflar’ın karşılıklı ve yazılı mutabakatı olmadıkça geçerli ve bağlayıcı olarak kabul edilmeyecektir.15.3 İşbu Sözleşme tahtındaki haklardan herhangi birinin Taraflarca kullanılmaması veya bunların kullanılmasının ertelenmesi haklardan feragat olarak değerlendirilmeyecek ve söz konusu hakların tek başına veya kısmi olarak kullanılması, diğer hakların kullanılmasını engellemeyecektir.15.4 Taraflar, işbu Sözleşme’den kaynaklanan hususlara ilişkin, işbu Sözleşme hükümleri uyarınca yapılacak olan bütün ihbar, ihtar ve bildirimler de dahil olmak üzere her türlü bildirim bakımından işbu Sözleşme’de belirtilen (i) açık posta; (ii) e-posta adreslerini yasal tebligat adresleri olarak kabul, beyan ve taahhüt Yapılacak ihbarlar veya ihtarlar, ilgili Taraf’ın yukarıda belirtilen adresine noter kanalıyla yapılması halinde yasal bağlayıcılığı olacaktır.15.5 Taraflar’dan her biri, işbu Sözleşme’de gösterilen yasal tebligat adreslerinde meydana gelebilecek değişiklikleri en az on beş (15) gün içerisinde yazılı olarak diğer Taraf’a bildirmeyi, aksi takdirde işbu Sözleşme’de gösterilen yasal tebligat adreslerine yapılan bildirimin, söz konusu tebliğ tarihinden itibaren yasal olarak usulüne uygun yapılmış hukuken geçerli bir tebligatın tüm hüküm ve sonuçlarını doğuracağını kabul, beyan ve taahhüt ederler.15.6 İşbu Sözleşme’nin tanzimi, icrası, imzalanması veya yürürlüğe girmesi ile ilgili, bu Sözleşme ve/veya Sözleşme ile kurulan hukuki ilişki dolayısıyla ödenmesi gereken ya da gerekebilecek ve/veya Üye’nin maruz kalacağı mevcut ve ileride tahakkuk edecek tüm damga vergileri de dahil diğer tüm vergiler, harçlar, kayıt giderleri ve diğer arızi giderler de dâhil olmak üzere her türlü masraf Üye tarafından karşılanacak olup bu konuda her türlü sorumluluk Üye’ye ait olacaktır.15.7 İşbu Sözleşme’nin başka herhangi bir hükmüne bakmaksızın, Turnkey’nin bu sözleşmeden kaynaklanan veya Üye’nin Turnkey’e üyeliği veya katılımıyla ilgili ortaya çıkabilecek Turnkey, imtiyaz sahibi, yöneticileri, çalışanları ve temsilcilerine karşı tüm talepleri için, sorumluluk nedenine bakılmaksızın, hizmetlerinde yargı organlarınca kanıtlanmış ihmali, kusurlu veya kasıtlı davranışı sonucu talepte bulunanın zararının meydana gelmesi söz konusu ise, talep edenin kanıtlanmış bu kaybı ile ilgili Turnkey’nin sorumluluğu, 1 (bir) yıllık Üyelik Aidatı ile sınırlıdır. Bu miktar, hiçbir zaman Üye’nin ödediği 1 (bir) yıllık Üyelik Aidatı’ndan fazla olamaz. Bu anlamda Turnkey’e yöneltilecek talepler, işbu Sözleşme’nin sona erdiği (yenilenmesi halinde, yenilenen ilgili dönemin bittiği) tarihten itibaren 3 ay süre ile sınırlı olup Üye tarafından işbu süre içinde dava açılmadığı takdirde, Turnkey’den herhangi bir alacak veya zarar talep edemez.15.8 İşbu Sözleşme’nin kurulması, geçerliliği ve yorumu, Türkiye Cumhuriyeti kanunlarına Taraflar arasında işbu Sözleşme’nin yorumundan, uygulanmasından, Sözleşme’ye uyulmamasından, varlığından, geçerliliğinden veya sona ermesinden | 15. MISCELLANEOUS 15.1 In the event that any provision of the Agreement is invalid or null, the said provision shall become ineffective (to the extent that it is invalid or unenforceable) and it will be deemed as not included in this Agreement without affecting the validity of the other provisions in this Agreement. In order to replace the invalid provision, the Parties are obliged to make the utmost effort objectively that can be expected from them to agree on a provision similar to that invalid and unenforceable provision and which is as close as possible to the intended effect of that provision.15.2 Amendments, acceptances, changes or additions to this Agreement shall not be accepted as valid and binding unless there is a mutual and written agreement between the Parties.15.3 The failure to exercise or postpone the use of any of the rights under this Agreement by the Parties shall not be deemed as a waiver of those rights, and the alone or partial exercise of any such right shall not preclude the exercise of other rights.15.4 The Parties accept, declare and undertake that; the (i) full address, (ii) e-mail addresses specified in this Agreement are their legal notification addresses in terms of all kinds of notifications, including all notices, warnings and notifications to be made in accordance with the provisions of this Agreement regarding the matters arising from this The notices or warnings to be made shall be effective between the Parties when they are made to the above-mentioned address of the relevant Party through a notary public.15.5 Each of the Parties accept, declare and undertake that they shall notify the other Party of any change in the legal notification addresses indicated in this Agreement in written within fifteen (15) days at the least; and that otherwise, the notification made to the legal notification addresses indicated in this Agreement shall have all the terms and consequences of a legally valid notification made legally from the date of the said notification .15.6 All expenses, including all current and future stamp duties, including all other taxes, fees, registration expenses and other incidental expenses regarding the arrangement, execution, signing or entry into force of this Agreement, that should or may be required due to this Agreement and/or the legal relationship established with the Agreement and/or the Member will be exposed shall be covered by the Member, and any responsibility in this regard shall belong to the Member.15.7 Notwithstanding any other provision of this Agreement, Turnkey’s liability is limited to a 1 (one) year of Membership Fee for the Member’s damages occurred as a result of the negligence, fault or intentional behaviour in Turnkey’s services proven by the judicial bodies, related to all claims that may arise from this Agreement or the Member’s membership or participation in This amount can never be more than the 1 (one) year Membership Fee paid by the Member. In this sense, the requests to be directed to Turnkey are limited to a period of 3 (three) months from the date of termination of this Agreement (in case of renewal, the end of the relevant period renewed), and unless the member filed a lawsuit within this period, no claim or damage can be requested from Turnkey.15.8 The establishment, validity and interpretation of this Agreement shall be governed by the laws of the Republic of If any conflict or dispute arises between the Parties due to the interpretation, |

İşbu Sözleşme, Taraflar’ın karşılıklı anlaşması suretiyle imza tarihinde yürürlüğe girer ve işlemeye başlar. | 16.
